Welcome to Tech4You Wholesale ("Website"), operated by Tech4You Limited ("Tech4You", "we", "our", or "us"). By accessing or using this Website, you agree to be bound by these Terms & Conditions.

1. Business-to-Business Platform

Tech4You Wholesale is a trade-only platform intended exclusively for approved business customers, including repair centres, retailers, resellers, service providers, educational institutions, and commercial organisations.

Access to pricing, product information, and purchasing functionality is restricted to approved account holders.

We reserve the right to approve, decline, suspend, or terminate any account application at our sole discretion.

2. Account Registration

To access the Website and place orders, customers must:

• Complete the dealer registration process;

• Provide accurate and current business information;

• Supply a valid New Zealand GST number;

• Maintain the confidentiality of their account credentials.

Customers are responsible for all activities conducted under their account.

Tech4You reserves the right to verify business information and request supporting documentation before granting account access.

3. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, images, pricing, and availability are accurate.

However:

• Product images may be representative only;

• Colours and appearances may vary;

• Specifications may change without notice;

• Availability is subject to supplier inventory.

Tech4You reserves the right to correct any errors, inaccuracies, or omissions at any time.

4. Pricing

Wholesale pricing is visible only to approved account holders.

All prices displayed on the Website are in New Zealand Dollars (NZD) and are exclusive of GST unless otherwise stated.

Prices may change without prior notice.

Pricing errors may occur. Where an error is identified, Tech4You reserves the right to cancel or amend affected orders before dispatch.

5. Orders

Submission of an order does not constitute acceptance.

All orders are subject to:

• Stock availability;

• Payment verification;

• Account standing;

• Internal review.

Tech4You reserves the right to refuse, limit, or cancel any order.

Special-order or supplier-sourced items may be subject to additional lead times and conditions.

6. Payment Terms

We accept a range of payment methods, including:

• Credit and debit cards;

• Electronic bank transfers;

• Approved account credit facilities;

• Other payment methods offered at checkout.

Approved trade customers may be offered Net 14-day credit terms ("N14") subject to credit approval. Invoices must be paid by the due date.

Late payments may result in:

• Suspension of account privileges;

• Suspension of future shipments;

• Recovery costs being charged to the customer.

Ownership of goods remains with Tech4You until full payment has been received.

7. Shipping and Delivery

Tech4You ships throughout New Zealand using approved courier partners, including NZ Post and other national carriers.

Delivery timeframes are estimates only and may vary depending on:

• Customer location;

• Rural delivery requirements;

• Public holidays;

• Courier performance;

• Weather events and circumstances beyond our control.

Risk in goods passes to the customer upon delivery.

Customers should inspect deliveries immediately and report shortages or damage within 48 hours of receipt.

8. Returns and Warranty

Returns, exchanges, and warranty claims are governed by our Refund & Returns Policy.

Unless otherwise agreed:

• Dead-on-arrival (DOA) claims must be reported within 7 days of receipt;

• Special-order items are non-returnable;

• Incorrectly ordered items may be accepted at Tech4You's discretion;

• Returned products must be in original packaging and suitable for resale unless being returned under warranty.

Tech4You reserves the right to inspect all returned products before approving refunds, replacements, or credits.

9. Consumer Guarantees Act

This Website is intended primarily for business customers.

Where permitted by law, and where goods are supplied for business purposes, the parties agree that the provisions of the Consumer Guarantees Act 1993 shall not apply.

Nothing in these Terms excludes rights that cannot be excluded under New Zealand law.

10. Intellectual Property

All content on this Website, including:

• Logos;

• Product content;

• Graphics;

• Images;

• Text;

• Software;

• Website design;

remains the property of Tech4You Limited or its licensors.

No content may be copied, reproduced, distributed, or used without prior written permission.

11. Limitation of Liability

To the maximum extent permitted by law:

• Tech4You shall not be liable for indirect, incidental, special, or consequential damages;

• Our total liability shall not exceed the value of the products supplied under the relevant order.

Customers are responsible for ensuring compatibility and suitability of purchased products for their intended use.

12. Force Majeure

Tech4You shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including:

• Natural disasters;

• Supply chain disruptions;

• Industrial action;

• Government restrictions;

• Transport interruptions;

• Telecommunications failures.
   

13. Privacy

Your use of the Website is also governed by our Privacy Policy.
 

14. Changes to Terms

Tech4You may update these Terms & Conditions at any time.

The latest version will always be available on the Website.

Continued use of the Website constitutes acceptance of any revised Terms.
